These Terms and Condition of Use (this “Terms”) constitute a legally binding contract between you (“User” or “You”) and MyTruCheck LLC, TruDate Corporation, and its respective officers, directors, representatives, advisors, agents, employees, successors, or assigns (jointly “MyTruCheck”) governing your access to and use of MyTruCheck. By using MyTruCheck, you expressly accept this Agreement and all the conditions stated herein.
Updates to Terms
MyTruCheck reserves the right to modify these Terms from time to time for purposes such as compliance with law and to reflect changes to the Services. Modifications will be posted online in these Terms. In the event of any conflict between these Terms and any subsequently modified terms, the modified terms shall prevail. By continuing to use the Services, User reaffirms its agreement to these Terms, as modified.
License
LiMyTruCheck grants User a non-exclusive, nontransferable, revocable license to obtain and use various information products and services provided by MyTruCheck (“Services”) for User’s internal use subject to the terms and conditions in your User Agreement and these Terms.
FCRA Representations and Compliance
You expressly confirm your understanding that MyTruCheck is not a “consumer reporting agency,” and its Services do not constitute “consumer reports” as these terms are defined by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) (“FCRA”) or similar state statutes. Accordingly, User represents and warrants that the Services will not be used, in whole or in part, as a factor in determining an individual’s eligibility for credit, insurance, employment, or for any other eligibility purpose permitted by the FCRA. User acknowledges that denying housing to an applicant or requiring an applicant to pay a deposit that another applicant would not be required to pay are eligibility purposes under the FCRA, and consequently, the Services may not be used for these purposes or for similar purposes.
You also acknowledge that the results of any MyTruCheck report may be inaccurate. MyTruCheck makes no warranties of any kind, express or implied, as to the Services, including, without limitation, those as to accuracy, currentness, completeness, timeliness, or quality, warranties of merchantability and fitness for a particular purpose, and those warranties that might be implied from a course of dealing, course of performance or trade usage. The Services are provided “AS IS”. MyTruCheck and its parents, subsidiaries, affiliates, and representatives shall have no liability for, and User agrees not to bring any claims of any kind nature or description in any court of law, consumer protection agency, or alternative dispute resolution forum, any claim relating to MyTruCheck procuring, compiling, collecting, interpreting, reporting, communicating, or delivering the Services.
Restrictions on Use
MyTruCheck retains all right, title and interest in the Services, Information, and Confidential Information, and User will not claim any rights to, or ownership of, any of the foregoing.
User will only use the Services for the purpose(s) certified by User in your User Agreement and for no other purpose.
User will not, directly or indirectly, resell the Services or Information, nor use the Services to create a competing product. User will not use the Services (i) for personal reasons, including, to locate friends, family members, celebrities or government officials; (ii) to view information on one’s self, except for initial training purposes on the system; or (iii) for marketing purposes.
User acknowledges and confirms its understanding that MyTruCheck searches are only conducted on residents of the United States and that MyTruCheck does not access any international databases for the purposes of generating a MyTruCheck report.
User certifies that it has the right to input the information into MyTruCheck’s search system, without limitation, and that User’s collection and inputting of information complies with all applicable laws, rules, regulations, and User’s privacy policies.
Services will be used by User only. Information may not be delivered to, or filed with, any third party.
No Searches Available on Residents of Oregon
MyTruCheck Services are not available to be performed on residents of Oregon at this time. Accordingly, Users will not be able to retrieve reports on persons who reside in this state until further notice.
Dispute Resolution
The parties agree that all claims, disputes or controversies that may arise under this Agreement, including a breach of this Agreement, shall be submitted to and exclusively resolved by mandatory mediation governed by the mediation procedures of the American Arbitration Association at a mutually agreed upon location, and shall be conducted by JAMS or such other processional mediation organization to which the parties shall agree. All such proceedings, and any settlement reached, and any other final outcomes of such mediation, the parties agree to keep confidential. The parties hereby expressly waive any right to a jury trial AND to adjudicate any dispute arising hereunder SOELY BY BINDING MEDIATION. THE PARTIES AGREE TO BE BOUND BY THE FINDINGS OF A MEDIATOR. BOTH PARIES EXPRESSLY WAIVE THEIR RIGHT TO HAVE ANY DISPUTES or claims between them ADJUDICATED BEFORE A JURY, BY TRIAL, OR BY ARBITRATION. The prevailing party in any mediation, action, or legal proceeding arising hereunder shall be entitled to an award of its reasonable attorneys’ fees and costs.
Furthermore, the Parties acknowledge that User’s breach of any agreements with MyTruCheck will cause irreparable harm to MyTruCheck. Upon any breach or threatened breach, MyTruCheck shall be entitled to injunctive relief, without having to post a bond, in addition to money damages and any other remedy available at law.
Security
User will not disclose to any third party any information relating to MyTruCheck’s business, the Services, or information derived from the Services (“Information”), including, without limitation, MyTruCheck ‘s business, financial, and technical information, data sources, pricing, products, processes, systems, results of testing, terms of your User Agreement, and any summaries, analyses or other information derived from any of the foregoing (collectively, “Confidential Information”).
User shall be solely liable and responsible for any User Security Incident(s) (“SSI”). A “User Security Incident” means any “breach of security” or unintended accessing of information or data involving the Services and/or Information that either the User provides to MyTruDate while using the Services or that is contained in any MyTruCheck report. “Breach of security” has the meaning associated with such phrase (or any similar phrase) in applicable U.S. federal and state privacy and data security laws (“Data Laws”).
In connection with a SSI, User, at its own cost and expense, shall: (i) notify MyTruCheck within twenty-four (24) hours of any SSI by email (support@mytrucheck.com) under the subject line USER SECRUITY INCIDENT; (ii) take prompt action to protect Information and Services involved in the SSI and minimize further unauthorized access or disclosure; (iii) investigate and respond to MyTruCheck’s reasonable requests; and (iv) comply with all Data Laws, including notifying consumers, government authorities, and/or other third parties, such as credit reporting agencies, that a SSI has occurred (collectively, the “Required Notifications”), and providing any required complimentary credit monitoring to consumers. User agrees Required Notifications shall not reference MyTruCheck (or its affiliates and parent company) or its Services, nor shall MyTruCheck be otherwise identified or referenced in connection with the SSI, without MyTruCheck’s express written consent.
User shall be solely liable for claims or penalties arising from a SSI including, but not limited to, penalties assessed by a governmental authority, costs of litigation (including attorneys’ fees), and reimbursement sought by individuals, including but not limited to, costs for credit monitoring or allegations of loss in connection with the SSI.
Indemnification
User agrees to indemnify, defend, and hold MyTruCheck harmless, including its affiliates and parent company, and its and their respective directors, officers, employees and agents (collectively, “MyTruCheck Indemnitees”) from and against all third-party claims for damages, final judgments, settlements and court costs brought against any of the MyTruCheck Indemnitees that arise or relate to a SSI.
In the event of a SSI, MyTruCheck may, in its sole discretion, take immediate action, including suspension or termination of User’s account, without further obligation or liability of any kind. Furthermore, User agrees that in the event of a SSI, User agrees to reasonably cooperate with any and all audits/requests for information by MyTruCheck, and to respond to any such audit/request for information within three (3) business days, unless an expedited response is required by MyTruCheck.
Severability
If any provision of this Agreement is deemed by a court of competent jurisdiction to be invalid, illegal or unenforceable, such determination shall not disturb the validity, legality or enforceability of the remaining provisions hereof, and each provision is hereby declared to be separate, severable and distinct.
Amendments
These Terms may be amended only by a written agreement signed by an authorized representative of MyTruCheck. Your User Agreement may not be assigned, transferred, or sublicensed, in whole or in part, without MyTruCheck prior written approval.
Governing Law
Your User Agreement and these Terms shall be governed by Florida law, without reference to its choice of law rules. Venue for all actions shall be in Florida.
To the extent that the Services rely upon or use information from any third-party sources, then those sources shall be third-party beneficiaries with all rights and privileges of MyTruCheck. MyTruCheck, and any such sources (as third-party beneficiaries), are entitled to enforce your User Agreement directly against User.
Provisions relating to access and use of the Services (excluding the license grant), disclaimer of warranties, indemnification, limitation of liability, audit, User’s release of claims, payment of fees, and confidentiality obligations, shall survive termination of your User Agreement.
Miscellaneous
User is not a representative or agent of MyTruCheck, will not represent that it is to any third party, and has no authority to bind MyTruCheck.
